Avoylo Terms of Service

These Terms of Service ("Terms") govern access to and use of Avoylo's websites, applications, APIs, operational systems, marketplaces, logistics coordination tools, billing features, Host tools, Seller tools, support services, and related services (collectively, the "Services").

These Terms form a binding agreement between the person or organization using the Services ("you") and [COMPANY LEGAL NAME TBD], doing business as Avoylo ("Avoylo," "we," "us," or "our").

If you use the Services on behalf of a company or other organization, you represent that you are authorized to bind that organization, and "you" includes that organization.

If you do not agree to these Terms, do not use the Services.

1. Avoylo Service Model

Avoylo provides technology and operational infrastructure that connects eligible Sellers with eligible local Hosts for storage and fulfillment of prepacked, sealed Parcels.

The initial operating model may include:

Unless Avoylo expressly states otherwise for a specific service, Avoylo is not the carrier transporting a Parcel.

2. Incorporated Policies and Agreements

These Terms incorporate by reference the policies and agreements that apply to your role or activity, including where applicable:

3. Eligibility

To create or control an Avoylo operational account, you must be legally capable of entering into the applicable agreement.

Unless Avoylo expressly approves another lawful structure:

Avoylo may impose additional eligibility requirements based on jurisdiction, service, payment provider, product category, identity verification, or law.

4. Account Registration

You must provide materially accurate, current, and complete account information.

You must not:

5. Account Security

You are responsible for maintaining reasonable security over your account credentials, devices, authentication factors, and recovery methods.

You must notify Avoylo promptly if you suspect unauthorized access.

6. Roles

Avoylo may provide different roles, including:

Possessing a URL or identifier does not grant authorization to another user's records.

7. Seller Responsibilities

A Seller is responsible for the Seller's products, inventory, declarations, lawful sale of products, customer relationship, product eligibility, packaging, required disclosures, and compliance with applicable Seller policies.

Seller obligations are described in greater detail in the Seller Services Agreement and Seller Services Policy.

8. Host Responsibilities

A Host is responsible for maintaining an eligible Host Location, protecting assigned inventory, following Avoylo custody workflows, using accurate availability and capacity information, and performing authorized tasks.

Host obligations are described in greater detail in the Host Services Agreement and Host Services Policy.

9. Prepacked Service Boundary

The initial Avoylo service is designed for customer-ready, prepacked, sealed Parcels.

Unless Avoylo expressly enables another service, Hosts are not required to perform ordinary:

10. Prohibited and Restricted Items

You may not use Avoylo for items prohibited under the Prohibited & Restricted Items Policy.

Restricted items require prior approval where the Policy says approval is required.

Carrier acceptance does not override Avoylo's own eligibility rules.

Avoylo may block, quarantine, return, transfer, remove, report, or otherwise manage prohibited or suspicious inventory as permitted by the applicable policies and law.

11. Operational Authority

Avoylo's server-side records and recognized external provider events are authoritative for Avoylo's operational state machine.

A browser screen, local cache, unsupported manual message, or user assertion does not by itself create an authoritative custody, financial, payment, payout, or shipping transition.

12. Matching and Host Availability

Avoylo does not guarantee that:

Avoylo may offer the same eligible Placement to multiple Hosts.

The first valid server-side acceptance may win the Placement.

13. Host Location Privacy

Host exact addresses are private operational information and are governed by the Privacy & Location Policy.

Avoylo may disclose precise Host Location information where reasonably necessary for authorized logistics, legal, safety, claims, security, transfer, or compliance purposes.

Users must not misuse private Host Location information.

14. Inventory Ownership

As between Avoylo and the Seller, Avoylo does not acquire title to Seller inventory merely because the inventory enters the Avoylo network.

Hosts do not acquire ownership of Seller inventory merely because they possess or store it.

Any legal lien, security interest, abandonment rule, or other property right created by law is separate from ordinary Avoylo operations and must be handled through an authorized legal process.

15. Custody Records

Avoylo may maintain custody records identifying:

Custody state does not automatically determine legal fault or insurance coverage.

16. Shipping and Carriers

Shipping may be provided through third-party carriers and shipping providers.

Carrier rules, service availability, delays, loss, damage, surcharges, and provider limitations may apply.

The Shipping & Carrier Policy controls Avoylo's operational handling of those events.

17. Billing

Seller fees and payment rules are governed by the Billing & Payment Policy and Seller Services Agreement.

Avoylo may charge for applicable:

Host earnings and payout rules are governed by the Host Earnings & Payout Policy and Host Services Agreement.

Displayed opportunity estimates do not create guaranteed earnings.

No minimum Host income or Opportunity volume is guaranteed.

19. Payment Providers

Avoylo may use third-party payment providers.

The initial Seller payment provider may be PayPal.

Payment-provider services may be subject to the provider's own terms, eligibility, availability, and verification requirements.

A provider screen does not replace Avoylo's authoritative billing and settlement records.

20. Payout Providers

Avoylo may use one or more third-party payout providers for Hosts.

No live payout provider is promised until Avoylo expressly activates the applicable live payout service.

Payout-provider eligibility, timing, verification, region, and fees may differ.

21. Taxes

You are responsible for taxes imposed on your own products, sales, income, business, property, or activities except to the extent applicable law expressly requires Avoylo to collect, withhold, report, or remit a tax.

Avoylo may require tax information where needed for lawful billing, payment, payout, or reporting.

22. User Content and Operational Evidence

You may submit information such as:

You retain ownership of User Content to the extent you own it.

You grant Avoylo a worldwide, non-exclusive, royalty-free license to host, process, reproduce, display, transmit, adapt, and use User Content as reasonably necessary to:

This license is limited to legitimate Avoylo purposes and does not transfer ownership of your intellectual property to Avoylo.

23. User Content Responsibility

You represent that you have the rights and authority necessary to provide User Content to Avoylo for the intended purpose.

You must not upload content that unlawfully infringes another person's rights or violates applicable law.

24. Feedback

If you voluntarily provide product feedback, suggestions, or ideas, Avoylo may use them without restriction or compensation, provided Avoylo does not thereby obtain ownership of your unrelated confidential information.

25. Avoylo Intellectual Property

Avoylo and its licensors own the Services, software, designs, interfaces, trademarks, logos, documentation, and other Avoylo materials except for User Content and third-party materials.

Subject to these Terms, Avoylo grants you a limited, revocable, non-exclusive, non-transferable right to use the Services for authorized purposes.

You must use the Services in a lawful manner and in accordance with role-specific policies.

Avoylo may investigate suspected abuse and take proportionate action.

28. No Off-Platform Circumvention

Users must not use nonpublic Avoylo information to intentionally bypass Avoylo's authorized custody, billing, privacy, safety, or fulfillment controls.

This does not prohibit lawful independent relationships unrelated to Avoylo.

29. Third-Party Services

The Services may integrate with third parties such as:

Avoylo is not responsible for a third party's unrelated service or conduct.

Your use of a third-party service may also be governed by that provider's terms.

30. Shopify and Commerce Integrations

Where Avoylo supports a commerce integration, the Seller must authorize the connected shop and any product mapping.

Avoylo may require explicit mapping between external products or variants and Seller-owned Parcel profiles.

Avoylo does not guarantee compatibility with every ecommerce configuration.

31. Google and Other Login Providers

Avoylo may permit authentication through third-party identity providers.

Availability of a login provider may change.

A third-party login provider does not receive ownership of your Avoylo account or Avoylo inventory merely because it authenticates you.

32. Service Changes

Avoylo may add, modify, suspend, or discontinue features.

Where a material change affects active inventory, accrued charges, earned Host compensation, or another existing obligation, Avoylo will use reasonable measures to preserve or transition existing records and obligations.

33. Beta, Pilot, and Sandbox Features

Avoylo may label functionality as beta, pilot, test, sandbox, preview, or experimental.

Such features may:

Sandbox transactions are not live commercial transactions.

34. Availability

Avoylo does not guarantee uninterrupted operation.

Maintenance, outages, provider failures, network issues, emergency actions, or other events may temporarily affect the Services.

Avoylo will use commercially reasonable efforts to restore material service functionality.

35. Support

Avoylo may provide support through designated channels.

Any stated response target is a target for first human response unless expressly stated otherwise.

A response target is not a guarantee that an issue will be fully resolved within the same period.

36. Incidents and Claims

Operational incidents and claims are governed by the Claims & Incident Policy.

Creating an Incident or Claim does not automatically establish:

Avoylo does not represent Seller inventory, Host property, or Shipments as insured unless actual coverage exists and the applicable terms are expressly provided.

Carrier liability, declared value, insurance, contractual protection, and discretionary credits are distinct concepts.

38. Equipment

Host equipment purchases, rewards, subsidies, loaners, compatibility, warranties, and returns are governed by the Equipment & Rewards Policy.

39. Privacy

Avoylo's collection, use, disclosure, and protection of personal information is governed by the Privacy Policy and Privacy & Location Policy.

40. Confidential Information

A user may receive nonpublic information concerning another participant solely to perform an Avoylo transaction.

The user must protect that information and use it only for the authorized purpose.

This obligation does not apply to information that:

Avoylo may suspend or restrict access where reasonably necessary because of:

You may request account closure subject to resolving active obligations.

Avoylo may terminate an account for material breach, fraud, legal restriction, serious safety risk, or repeated violation.

Where practical and safe, Avoylo may provide notice and an opportunity to cure.

Immediate action may be taken where delay would create material risk.

47. Indemnity

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Avoylo and its affiliates, officers, directors, employees, and agents from third-party claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable legal fees arising from or relating to:

This section does not require indemnification to the extent a claim was caused by Avoylo's own conduct where such allocation is prohibited by law.

Role-specific indemnities may appear in the Seller or Host agreement.

48. Disclaimers

To the fullest extent permitted by law, the Services are provided on an "as is" and "as available" basis.

Avoylo does not warrant that:

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

49. No Consequential-Damages Recovery

To the fullest extent permitted by law, Avoylo will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, lost business opportunity, loss of goodwill, or business interruption, arising from the Services, except where such exclusion is prohibited by law.

This provision does not itself determine any specific inventory Claim remedy.

50. General Liability Cap

To the fullest extent permitted by law, Avoylo's aggregate liability arising out of or relating to the Services under these Terms will not exceed the greater of:

excluding pass-through carrier postage, taxes collected for authorities, and amounts merely transferred to another participant.

This cap does not apply to liability that cannot lawfully be limited, including where applicable liability for fraud, intentional misconduct, or other non-waivable obligations.

A Seller Services Agreement, Host Services Agreement, protection program, insurance policy, or mandatory law may provide a different rule for a specific claim.

51. No Limitation of Payment Obligations

The liability limitations above do not excuse:

Avoylo is not responsible for delay or failure caused by events beyond Avoylo's reasonable control, including:

Avoylo may provide legal or service notices through:

54. Electronic Communications

You consent to receive agreements, disclosures, receipts, notices, and other service communications electronically where permitted by law.

You may retain electronic copies for your records.

55. Assignment

You may not transfer these Terms or an operational account without Avoylo's consent, except where applicable law gives you a non-waivable right.

Avoylo may assign these Terms as part of a merger, acquisition, financing, corporate reorganization, sale of assets, or transfer of the applicable business, subject to applicable law.

56. No Agency or Partnership

Except for specific authority expressly granted in a separate written agreement, use of Avoylo does not create a partnership, joint venture, fiduciary relationship, or general agency between users and Avoylo.

The Host relationship is addressed separately in the Host Services Agreement.

57. Governing Law

These Terms are governed by the laws of [GOVERNING JURISDICTION TBD], without regard to conflict-of-laws principles, except to the extent mandatory law requires otherwise.

58. Dispute Resolution

Before filing a formal claim, the parties should first attempt in good faith to resolve the dispute through Avoylo's designated legal or support contact.

The final forum, arbitration, class-action, jury-waiver, venue, and statutory-notice provisions must be completed for Avoylo's chosen legal entity and operating jurisdiction before publication:

59. Severability

If a provision of these Terms is held unenforceable, the remaining provisions remain in effect to the maximum extent permitted by law.

60. No Waiver

Failure to enforce a provision is not a waiver of the right to enforce it later.

61. Entire Agreement

These Terms, together with the applicable incorporated policies, role-specific agreements, Accepted Terms, and service-specific terms, form the agreement concerning the applicable Avoylo Services.

They supersede prior oral or written statements concerning the same subject to the extent permitted by law.

62. Changes to Terms

Avoylo may update these Terms prospectively.

Where required by law or contract, Avoylo will provide appropriate notice before a material change becomes effective.

A change does not silently rewrite completed payment, payout, custody, or Accepted-Term history.
