Avoylo Host Services Agreement

This Host Services Agreement ("Host Agreement") is entered into between [COMPANY LEGAL NAME TBD], doing business as Avoylo ("Avoylo," "we," "us," or "our"), and the individual or eligible entity approved to perform Host services ("Host," "you," or "your").

By accepting this Host Agreement or participating as a Host, you agree to this Agreement, the Avoylo Terms of Service, and the incorporated policies identified below.

1. Host Eligibility

An individual Host must:

Avoylo may approve eligible business entities or additional operating structures through a separately supported process.

2. Host Services

Host may perform authorized services including:

Host must perform only services Avoylo has authorized.

3. Incorporated Documents

This Host Agreement incorporates, where applicable:

Where this Host Agreement expressly conflicts with a general Host policy on a contractual matter, this Host Agreement controls.

4. Independent Service Relationship

The parties intend the Host to perform services as an independent service provider and not as Avoylo's employee, agent, partner, franchisee, or joint venturer.

Subject to Avoylo's custody, safety, security, and service requirements, Host controls the ordinary manner in which Host organizes the approved Host Location and chooses whether to accept new Opportunities.

Nothing in this Agreement overrides worker-classification, employment, wage, tax, or other rights that cannot lawfully be waived.

5. No Authority to Bind Avoylo

Host has no authority to:

unless Avoylo expressly grants that authority in writing.

6. No Guaranteed Opportunities

Avoylo does not guarantee:

Host may receive no Opportunities in a given period.

7. Opportunity Acceptance

Host may ordinarily decline a new Opportunity before acceptance.

Where Avoylo offers the same Placement to multiple eligible Hosts, the first valid authoritative acceptance may win.

A Host browser showing an Opportunity does not reserve the Placement unless the server commits the acceptance.

8. Accepted Terms

When Host validly accepts and Avoylo commits a Placement, the applicable Accepted Terms become the commercial record for that Placement.

Accepted Terms may include:

Host may not later demand a different rate for the same historical Placement merely because general pricing changes.

9. Host Location

Host may store inventory only at an approved Host Location.

Host must keep the location information accurate.

Host must not silently relocate inventory to another property, vehicle, storage unit, friend's residence, or unapproved location.

10. Lawful Property Use

Host represents that Host has lawful authority to use the Host Location for the permitted activity.

Host is responsible for applicable:

Avoylo approval does not override third-party property rights.

11. Storage Standards

Host must maintain the Host Location in compliance with the Host Storage & Safety Standards.

At minimum, Host must maintain storage that is reasonably:

12. Capacity

Host must keep capacity materially accurate.

Host must reduce availability or stop accepting new inventory before storage conditions become materially unsafe, overcrowded, or operationally unreliable.

13. Availability

Host must keep processing days, windows, vacation status, and operational availability materially accurate.

Vacation or unavailable status may stop new matching.

It does not erase existing custody obligations.

14. Existing Custody Continues

Once Host has accepted and received inventory, Host remains responsible for authorized custody until the inventory lawfully and authoritatively leaves the Host Location or another supported custody transition occurs.

Host may not abandon inventory because Host later becomes unavailable.

15. Parcel Custody

Host must protect Seller inventory from unauthorized:

16. No Ownership of Seller Inventory

Host does not acquire ownership of Seller inventory merely through possession, storage, Seller inactivity, or account suspension.

Host must not sell, donate, consume, or dispose of Seller inventory without an authorized instruction and lawful basis.

17. No Ordinary Opening

Host must not open sealed Parcels during ordinary service.

If a safety emergency or authorized procedure requires opening, Host should document the event where reasonably possible.

18. No Repacking or SKU Picking

The initial Host role does not require ordinary:

Host should report packaging or inventory problems rather than improvising unsupported services.

19. Inbound Receipt

Host must process inbound inventory through Avoylo's authorized receipt workflow.

Host must not mark an unreceived Parcel as present.

A carrier Delivered event does not by itself authorize Host to mark inventory STORED.

20. Unknown Parcels

Host must not silently add an unknown or unapproved Parcel to normal inventory.

Host must preserve it where safe and report it through the applicable workflow.

21. Seller Discrepancy Reporting

Host may report Seller/inbound issues such as:

Host must report observations honestly.

A Host report does not automatically establish Seller fault.

22. Separate Declarations and Observations

Host must not falsify or overwrite Seller's original declaration.

Host observations and measurements are preserved separately.

23. Storage Identity

Host must keep every Parcel identifiable.

Host must not substitute one similar-looking Parcel for another.

If the assigned Parcel cannot be located, Host must report the issue and must not fabricate a scan.

24. Outbound Tasks

Once inventory is stored, Host may receive required outbound tasks concerning stored inventory.

These are not ordinary optional new Opportunities.

Host must complete existing custody-related obligations according to the applicable service standards, subject to safety and lawful limitations.

25. QR Verification

Host must use the required identity-verification workflow before staging an assigned Parcel.

Host must not:

26. Shipping Labels

Host must use only the authorized shipping label.

Host may reprint a still-valid label where permitted but must not create an unauthorized replacement or switch carrier/service independently.

27. Staging

Host must stage the exact authorized Parcel according to the task and pickup requirements.

Staging must not unnecessarily expose unrelated inventory.

28. Staging Photo

Where required, Host must provide a truthful staging photo.

A staging photo proves the staged condition and identity required by the workflow.

It does not by itself prove carrier possession.

29. Carrier Handoff

Host must follow the authorized pickup or handoff method.

Host must not personally deliver customer orders under the ordinary service unless Avoylo expressly creates and authorizes a separate service.

30. Failed Pickup

If carrier pickup fails, Host must preserve the Parcel and follow Avoylo recovery instructions.

Host must not independently send the Parcel through a different carrier.

A failed pickup does not automatically erase the completed outbound earning or create a second ordinary outbound earning.

31. Carrier Acceptance

Normal outbound Host storage ends at authoritative CARRIER_ACCEPTED, not at staging.

Where acceptance is missing or ambiguous, Host must cooperate with the Incident and reconciliation process.

32. Transfers and Removals

Host must follow the authorized workflow for:

Host must not release inventory to an unverified person merely because that person claims to be the Seller or customer.

33. Host Earnings

Current pilot Host earnings include:

The Host Earnings & Payout Policy controls the detailed earning rules.

34. No Duplicate Earnings

Retries, rescans, page refreshes, lost responses, missed pickup recovery, or repeated idempotent operations do not create duplicate earnings.

35. Storage Earnings

Storage starts at authoritative STORED.

Open storage may be closed into weekly financial segments at Monday 00:00 UTC.

Storage ends when physical custody authoritatively leaves Host according to the applicable workflow.

36. Earnings Maturation

Under the current pilot, each authoritative Host earning matures for seven full calendar days from the earning-event timestamp.

An earning may then become AVAILABLE if no valid hold or correction applies.

37. Weekly Payout Cycle

The pilot payout cycle is weekly.

The current eligibility cutoff is Monday 00:00 UTC.

When live payouts are activated, Avoylo's operating target is to initiate eligible weekly payout batches within two business days after the cutoff.

Provider arrival time is not guaranteed.

38. Minimum Payout Threshold

The ordinary pilot payout threshold is USD $10.00 of net eligible AVAILABLE earnings.

Sub-threshold balances roll forward.

A final Host wind-down may include an otherwise eligible sub-threshold balance, subject to provider limitations.

39. Payout Provider

Host may be required to connect or provide an eligible payout destination.

No live payout provider is guaranteed until Avoylo intentionally activates live payouts.

PAYOUTS_LIVE=false means the production payout obligation is not yet activated through the software merely because an accounting balance exists in sandbox or pilot development.

40. Taxes

Host is responsible for Host's tax obligations except for withholding, reporting, or remittance obligations that applicable law places on Avoylo.

Avoylo may require:

41. Expenses

Except where Avoylo expressly agrees otherwise, Host is responsible for ordinary costs of maintaining the Host Location and personally owned equipment.

Avoylo may separately provide or reimburse specific equipment, supplies, or services under an express program.

42. Equipment

Host may use compatible equipment under the Equipment & Rewards Policy.

Avoylo does not require proprietary equipment merely because Host participates.

Loaned equipment remains subject to applicable return terms.

43. No Direct Seller Payment

Host must not demand or accept direct Seller payment for ordinary Avoylo storage or handling in order to bypass Avoylo.

Host compensation is recorded through Avoylo's earnings system.

44. Privacy

Host must protect:

Host must use such information only for authorized Avoylo purposes.

45. Customer Data

Host must not use customer information for:

Host must not photograph or publish customer shipping labels except as necessary in an authorized private evidence workflow.

46. Seller Data

Host must not disclose nonpublic Seller inventory details, customer volumes, product data, or operational information except where authorized.

47. Social Media

Host must not publicly post:

48. Household Members and Delegation

Household members do not automatically become authorized Hosts.

Host must not casually delegate fulfillment to:

49. Personal Safety

Host is not required to physically confront a thief, carrier, customer, Seller, or other person.

Human safety takes priority over inventory.

Host should use emergency services where appropriate.

50. Prohibited Host Conduct

Host must not:

51. Incident Cooperation

Host must reasonably cooperate with Incident and Claims investigations concerning inventory in Host custody or tasks Host performed.

Host may be asked for:

Host must not put personal safety at risk to create evidence.

52. Holds and Corrections

A specific earning or payout may be held where a legitimate unresolved condition materially affects whether it should be paid.

A hold does not erase the earning.

Financial corrections must be auditable.

53. No Arbitrary Clawback

Avoylo will not silently rewrite a completed payout as if it never happened.

Any post-payment correction uses an auditable lawful adjustment or recovery path.

54. Insurance

Avoylo does not represent that Host's homeowners, renters, commercial, or other personal insurance covers Avoylo inventory.

Avoylo does not represent Host inventory custody as insured by Avoylo unless actual coverage is separately documented.

Host should evaluate Host's own insurance and property obligations.

55. Background or Identity Verification

Avoylo may require reasonable identity, address, fraud, or eligibility verification.

Where permitted by law and implemented, Avoylo may also require a background or other suitability check for specific Host services.

Any such program will be subject to applicable legal requirements and disclosures.

56. Inspection and Verification of Host Location

Avoylo may require reasonable evidence of Host Location suitability, including:

Avoylo verification does not transfer Host's responsibility to maintain ongoing compliance.

57. Host Indemnity

To the fullest extent permitted by law, Host will defend, indemnify, and hold harmless Avoylo and its affiliates, officers, directors, employees, and agents from third-party claims, losses, liabilities, penalties, damages, and reasonable legal fees arising from or relating to:

Host is not required to indemnify a party to the extent a claim was caused by that party's own conduct where such allocation is prohibited by law.

58. Seller Product Claims

Host is not the manufacturer or Seller of Seller inventory merely because Host stores or handles the Parcel.

Product defect, labeling, recall, and customer sales obligations ordinarily remain with Seller except to the extent Host's own conduct independently creates liability.

59. Service Disclaimer

Avoylo does not guarantee Host:

Non-waivable rights remain unaffected.

60. Limitation of Liability

The limitation-of-liability provisions in the Avoylo Terms of Service apply to this Host Agreement unless mandatory law or a specific written agreement provides otherwise.

Nothing in this section waives wages, employment rights, or other rights that applicable law does not permit the parties to waive.

61. Host Suspension

Avoylo may pause new matching or suspend Host activity for reasons including:

Suspension does not itself determine fault or financial liability.

62. Immediate Safety Suspension

Avoylo may immediately restrict Host activity where delay could create material danger to:

Existing inventory must then be resolved through the applicable transfer, removal, recovery, or Incident process.

63. Host Termination

Host may request to leave Avoylo.

Host exit is not operationally complete until:

64. Avoylo Termination

Avoylo may terminate Host participation for material breach, fraud, serious safety risk, unlawful conduct, intentional inventory misuse, or repeated material policy violation.

Where practical and safe, Avoylo may provide notice and an opportunity to cure.

65. Inventory During Host Exit

Host must continue to protect Seller inventory until Avoylo authoritatively transfers or removes it.

Host must not abandon inventory or place it outside for Seller retrieval without authorization.

66. Final Earnings and Payout

Termination does not erase valid Host earnings.

After applicable:

Avoylo may include eligible earnings in a final payout.

67. Death or Incapacity

If Host dies or becomes unable to manage the account, Avoylo may work with a legally authorized representative to secure inventory and resolve unpaid earnings.

Possession of Host's device or home does not itself make another person an authorized Host or payout recipient.

68. Survival

The following survive termination where applicable:

Avoylo may update this Agreement prospectively.

A new version does not silently rewrite historical Accepted Terms, completed earning events, completed payouts, or custody history.

70. Governing Law and Disputes

The governing-law and dispute-resolution provisions in the Avoylo Terms of Service apply.

Before publication, the following must be completed based on Avoylo's final legal entity and operating jurisdiction:
