Avoylo Seller Services Policy

This Seller Services Policy defines the Seller-side operating rules for inventory placed into the Avoylo network, from submission and Host matching through inbound transit, storage, order fulfillment, cancellation, returns, transfer, removal, and Seller exit.
This Policy is intentionally focused on how Seller inventory moves through Avoylo. Payment, claims, insurance, privacy, prohibited items, and other legal subjects are governed in greater detail by the applicable specialized policies and agreements.
Policy hierarchy
For operating matters:
- the Avoylo Operations Policy defines the network-wide operating model;
- this Seller Services Policy defines more specific rules for Sellers;
- the Host Services Policy defines more specific rules for Hosts; and
- a narrower service-specific policy or written agreement controls for that specific feature, transaction, or service where it expressly differs.
If this Seller Services Policy conflicts with the Operations Policy on a Seller-specific operating matter, this Seller Services Policy controls to the extent of that Seller-specific conflict. A more specific applicable agreement or service policy controls over both where it expressly addresses the same matter.
Nothing in this Policy creates insurance coverage, guarantees Host availability, guarantees fulfillment or delivery times, determines legal title or risk of loss, or overrides rights that cannot lawfully be waived.
1. Core Definitions
For this Policy:
Parcel means one individually identifiable sealed package recorded in Avoylo.
Batch means a Seller-created group of Parcels submitted together for placement.
Placement means the specific group of Parcels assigned by Avoylo to one Host Location under one committed Host acceptance.
Host Location means an Avoylo-approved storage location associated with a Host.
Accepted Terms means the pricing and operational terms recorded when a Host validly accepts an Opportunity and Avoylo commits the Placement.
Authoritative State means the state committed by Avoylo's server-side system or a recognized external provider event. A browser display, local device state, or unsupported manual statement does not itself create an authoritative transition.
Capitalized terms not defined here have the meanings given in the Avoylo Operations Policy or another applicable specific policy.
2. Seller Role
The Seller supplies the products, controls its retail storefront or sales channel, and remains responsible for its products and end-customer relationship unless Avoylo expressly agrees otherwise for a specific service.
The Seller is responsible for:
- deciding what products to sell;
- preparing products for Avoylo's supported fulfillment model;
- providing accurate inventory and order information;
- maintaining lawful authority to sell and ship the products;
- providing customer-facing product, refund, return, warranty, and sales information;
- submitting valid fulfillment instructions; and
- resolving Seller-controlled issues that prevent lawful or accurate fulfillment.
Avoylo provides the network, matching, inventory records, task assignment, evidence, shipping integrations, billing infrastructure, incident workflows, and related operational services.
3. Seller Authority and Verification
The person operating a Seller account must be authorized to act for the Seller.
The Seller must provide materially accurate business and contact information requested by Avoylo and keep material information current.
Avoylo may require identity, business, ownership, tax, payment, address, or other verification before enabling a Seller account or specific functionality.
Registration does not itself guarantee Host matching, geographic availability, order capacity, or access to every Avoylo service.
4. Legal Right to Inventory
The Seller must have the lawful right to possess, store, sell, fulfill, and ship all inventory submitted to Avoylo.
A Seller must not place into the Avoylo network inventory that is stolen, counterfeit, unlawfully distributed, materially infringing, unlawfully imported, or otherwise not lawfully available for the proposed service.
Avoylo may request reasonable supporting documentation and may block the affected inventory while a material authenticity, ownership, or authorization issue is reviewed.
5. Product Safety and Restricted Inventory
The Seller must comply with the Avoylo Prohibited & Restricted Items Policy.
The Seller must not knowingly submit inventory that is unlawful, recalled and not lawfully cleared for further sale, materially unsafe for the enabled workflow, or outside Avoylo's supported inventory model.
If the Seller becomes aware of a recall, stop-sale, safety defect, regulatory restriction, or other material issue affecting inventory already in the network, the Seller must notify Avoylo promptly.
Avoylo may stop allocation or fulfillment of affected inventory while the issue is reviewed.
6. Supported Inventory Model
Unless Avoylo expressly enables another service, the Seller must submit prepacked, sealed Parcels.
Each Parcel must be capable of being stored and fulfilled without requiring the Host ordinarily to:
- open the Parcel;
- pick loose SKUs from inside it;
- combine products;
- assemble kits;
- inspect product condition inside sealed packaging;
- repackage merchandise; or
- perform product-level quality control.
The Seller must complete ordinary customer-ready packing before authorized inbound shipment.
7. Packaging Standards
Each Parcel must be sealed and reasonably suitable for the expected storage, handling, staging, and carrier transportation associated with the selected service.
Packaging must:
- reasonably protect the contents;
- withstand ordinary handling associated with the service;
- not expose sharp, leaking, loose, or apparently unsafe contents;
- comply with applicable carrier rules;
- comply with applicable product-specific requirements; and
- preserve any required Avoylo Parcel identity.
More detailed packaging requirements are governed by the Seller Packing & Inbound Standards.
Inventory that materially fails required packaging standards may be rejected, placed into review, quarantined, returned, or removed through the applicable workflow.
8. Parcel Identity
Each physical Parcel must correspond to the correct Avoylo Parcel identity.
The Seller must not intentionally:
- duplicate one Avoylo Parcel identity across separate physical Parcels;
- apply the wrong identity to a Parcel;
- reuse a retired or already-assigned identity;
- obscure required identity information; or
- substitute a different physical Parcel after the authorized inbound scope has been established.
Where Avoylo provides an opaque QR code, barcode, or other identifier, it must be used only for the authorized Parcel or workflow.
9. Inventory Declarations
Before inbound shipment, the Seller must provide complete and materially accurate information requested by Avoylo.
This may include:
- Parcel quantity;
- dimensions;
- weight;
- contents or product category;
- product identifiers;
- declared or reference value;
- storage requirements;
- handling restrictions;
- carrier restrictions;
- regulatory information; and
- other information reasonably required for matching, capacity, safety, storage, billing, or transportation.
Seller declarations remain part of the historical record.
If later evidence differs from the Seller's declaration, Avoylo may preserve both the original declaration and the later observation.
The Seller must not knowingly understate or misstate dimensions, weight, value, quantity, category, or another material fact to obtain lower pricing, broader Host eligibility, different carrier treatment, or another improper advantage.
10. Corrections Before Placement
If the Seller discovers a material error before Host assignment is committed, the Seller must correct it through the authorized Avoylo workflow.
A correction that changes capacity, pricing, eligibility, safety, or carrier requirements may cause Avoylo to recalculate the Placement or rematch the Batch.
The Seller must not send materially different inventory while leaving the original declaration unchanged.
11. Batch, Placement, and Replenishment Rules
Under the initial Avoylo model:
- a Batch is assigned as a whole to one Host Location unless Avoylo explicitly divides it before assignment;
- a committed assignment creates a Placement;
- every Parcel within one Placement shares that Placement's applicable Accepted Terms unless Avoylo expressly records a Parcel-specific exception; and
- new physical inventory is not silently appended to an existing Placement.
A replenishment requires a new authorized Batch or replenishment Placement, even where Avoylo assigns it to the same Host Location.
This preserves separate capacity, custody, pricing, and audit history.
Avoylo may later support explicitly defined replenishment workflows, but each replenishment must remain separately attributable in the authoritative records.
12. Partial Removal
The Seller may request removal of some, rather than all, eligible Parcels from a Placement where Avoylo supports partial removal.
A partial removal:
- operates at identified Parcel scope;
- does not terminate the Placement for remaining Parcels;
- must preserve the remaining inventory's Accepted Terms and custody history; and
- must use an authorized removal task or workflow.
The Seller must not directly instruct a Host to hand over selected Parcels outside Avoylo's authorized process.
13. Storage Offer
Where Seller-posted storage pricing is enabled, the Seller may choose an eligible storage offer subject to the active pricing rules.
Avoylo may display:
- a minimum permitted rate;
- an optional recommended starting rate; and
- other pricing guidance.
A recommended rate is guidance and is not a representation that the rate is a market average, a guarantee of Host acceptance, or a guarantee of service quality.
14. Host Matching
Avoylo determines which eligible Hosts receive a Placement Opportunity.
The same Opportunity may be sent to multiple eligible Hosts.
A Host pressing Accept does not itself create an assignment.
The assignment exists only when Avoylo's authoritative server-side system validates the Host and commits the Placement.
After one valid acceptance is committed, competing offers for the same Placement are no longer available.
15. Host Privacy
A Host's exact address is not ordinary Seller-facing marketplace information.
Before an operational need exists, Avoylo may show only a coarse geographic area such as a state, metro area, or service region.
If an exact Host Location is exposed or inferable because it is operationally necessary, the Seller may use it only for the authorized Avoylo purpose.
The Seller must not use a Host Location for:
- unrelated marketing;
- solicitation;
- harassment;
- surveillance;
- unauthorized direct contact;
- off-platform fulfillment;
- unauthorized future shipments; or
- another unrelated purpose.
16. Accepted Terms
When a Host validly accepts an Opportunity and Avoylo commits the Placement, Avoylo records or may record the applicable Accepted Terms.
These may include:
- accepted storage rate;
- pricing-policy version;
- Parcel quantity;
- Parcel volume;
- assigned Host Location;
- applicable inbound terms;
- applicable outbound terms; and
- other identified commercial or operational terms.
Later general pricing changes do not silently rewrite historical Accepted Terms.
17. No Unauthorized Direct Shipments
The Seller must not ship inventory to a Host before Avoylo authorizes the inbound shipment.
The Seller must not:
- reuse a previously disclosed Host address for a new shipment without authorization;
- send additional Parcels merely because an earlier Placement exists;
- send substitute or promotional inventory outside the authorized scope; or
- independently redirect an Avoylo-authorized shipment to another Host Location.
Every inbound Parcel must belong to an authorized Avoylo workflow.
18. Authorized Inbound Shipment
After a Placement is committed, the Seller must use the inbound method authorized by Avoylo.
The Seller must:
- ship only the authorized inventory;
- use the correct Placement and Parcel identities;
- follow the applicable routing and label instructions;
- tender the shipment within any stated validity window;
- comply with applicable carrier restrictions; and
- preserve required tracking or shipment information.
If routing or label information appears incorrect, the Seller must use the correction or support workflow rather than manually redirecting the shipment.
19. Inbound Transit
Once the Seller tenders an authorized inbound shipment to the applicable carrier or transport provider, Avoylo may track the shipment through provider events.
Inbound transit does not become Host storage merely because the carrier has possession.
A Parcel becomes STORED only after the required Host receipt and verification workflow is completed.
Seller-facing status should distinguish at least the functional stages:
AUTHORIZED → IN_TRANSIT → RECEIVING → STORED
or operationally equivalent states.
20. Inbound Transit Exceptions
If an inbound shipment is delayed, lost, misrouted, damaged in transit, or marked delivered without confirmed Host receipt, the Seller must use the applicable Avoylo support or incident workflow.
Examples include:
- carrier loss before Host receipt;
- prolonged carrier delay;
- delivery to an incorrect location;
- a carrier
Deliveredevent without Host receipt confirmation; - visible transit damage;
- missing Parcels from a multi-Parcel inbound shipment; or
- a tracking event inconsistent with the authorized route.
A carrier Delivered scan does not by itself change a Parcel to STORED.
Until Host receipt is authoritatively completed, Avoylo must not treat the Parcel as normally available Host inventory.
Avoylo may preserve the inbound shipment in an exception state while carrier records, Seller evidence, and Host evidence are reviewed.
21. Unknown or Unauthorized Parcels
An unknown, unapproved, or unidentified Parcel must not transition directly to STORED.
The operational path is:
UNKNOWN / UNAPPROVED → REVIEW → authorized correction, return, removal, or other approved disposition
Avoylo may require the Host to record limited evidence without opening the Parcel.
The Seller may be required to:
- identify the Parcel;
- prove that it belongs to an authorized shipment;
- correct a materially incorrect declaration;
- authorize return or removal; or
- provide another supported disposition instruction.
Until the issue is resolved, the Parcel is not normal fulfillable inventory.
22. Inbound Discrepancies
A Host may report material discrepancies including:
- quantity mismatch;
- weight mismatch;
- dimension or volume mismatch;
- damaged packaging;
- unknown Parcel identity;
- unapproved Parcel;
- suspicious or prohibited contents;
- leaking or apparently unsafe packaging; or
- another material inconsistency.
A Host report does not automatically establish Seller fault.
Avoylo may compare Seller declarations, carrier data, Host evidence, measurements, system records, and other relevant evidence.
Affected inventory may remain in DISCREPANCY_REVIEW, QUARANTINED, or another blocked state until the issue is resolved.
23. Material Misdeclaration
If Avoylo determines that Seller-provided information was materially inaccurate, Avoylo may:
- preserve the original declaration;
- record an auditable correction;
- recalculate capacity;
- require rematching;
- require transfer or removal;
- apply an authorized billing adjustment under the Billing & Payment Terms;
- block affected inventory; or
- require additional verification.
Repeated, intentional, fraudulent, unsafe, or severe misdeclaration may result in broader service restriction under the applicable agreements.
24. Storage Entry and Storage Accrual Reference
A Parcel enters normal stored inventory only at the authoritative STORED transition.
For the current operating model, storage accrual begins no earlier than the authoritative STORED timestamp.
The exact billable stop event, rounding method, minimums, credits, and other storage-billing rules are governed by the Billing & Payment Terms.
This Policy does not independently redefine those financial rules.
25. Inventory Availability
Inventory is eligible for normal order allocation only when Avoylo's authoritative state allows it.
Inventory may be unavailable because it is:
- still inbound;
- receiving;
- under discrepancy review;
- quarantined;
- already reserved;
- transfer pending;
- return pending;
- removal pending;
- damaged;
- lost;
- suspended from fulfillment; or
- otherwise ineligible.
The Seller-facing interface does not override the authoritative state.
26. Physical Inventory Reconciliation
Avoylo may require inventory reconciliation when needed for accuracy, security, transfer, removal, incident review, or periodic verification.
The Seller must reasonably cooperate where Seller-controlled records are needed.
If system inventory and physical inventory differ, Avoylo should preserve the discrepancy and investigation history rather than silently editing records solely to force a match.
27. Orders Submitted to Avoylo
An order may enter Avoylo through an authorized commerce integration, Avoylo interface, CSV or bulk workflow, API, webhook, or another supported method.
The Seller must provide materially accurate order information.
Avoylo validates the order before treating it as eligible for fulfillment.
An order received by Avoylo is not necessarily accepted for fulfillment until the applicable validation succeeds.
28. Authoritative Order Lifecycle
The Seller-side order workflow follows these functional stages or their system equivalents:
RECEIVED → VALIDATING → ACCEPTED → RESERVED → FULFILLING → HANDOFFREADY → CARRIERACCEPTED → DELIVERED
Exception states may include:
BLOCKEDCANCELLEDRETURN_PENDINGRETURNED- another expressly supported exception state
The authoritative meaning is:
RECEIVED
Avoylo has received an order payload but has not yet accepted it for fulfillment.
VALIDATING
Avoylo is checking required order, Seller, inventory, destination, and service conditions.
ACCEPTED
The order has passed validation and is eligible to proceed to allocation.
RESERVED
Avoylo has atomically assigned one exact eligible Parcel to the order.
FULFILLING
The assigned outbound task is actively progressing through Host handling.
HANDOFF_READY
The exact Parcel has completed the required Host-side staging workflow.
CARRIER_ACCEPTED
Reliable carrier or provider evidence confirms carrier possession.
DELIVERED
Reliable carrier or provider evidence indicates completed delivery or another authorized completion rule applies.
A client-side state cannot bypass an authoritative transition.
29. Parcel Allocation
For every order that proceeds to physical fulfillment, Avoylo will authoritatively reserve a specific eligible Parcel before Host outbound handling.
The Host must process only that assigned Parcel.
The Seller must not instruct the Host to substitute another physical Parcel outside the Avoylo workflow.
Avoylo uses atomic allocation, reservation, idempotency, or equivalent controls to prevent double allocation.
30. Order Cancellation
A cancellation request does not guarantee that physical fulfillment can still be stopped.
Before RESERVED
The order may be cancelled without an outbound Parcel being committed.
After RESERVED but Before Material Outbound Processing
Avoylo may release the reservation and return the Parcel to STORED where no blocking outbound action has occurred.
After Label Issuance but Before HANDOFF_READY
Avoylo may cancel the task, void or supersede the label where supported, and return the Parcel to STORED if Avoylo confirms the Parcel has not been staged or handed to the carrier.
After HANDOFFREADY but Before CARRIERACCEPTED
Cancellation is not guaranteed. Avoylo may attempt to stop handoff only where the Parcel remains recoverable through an authorized workflow.
After CARRIER_ACCEPTED
The shipment is no longer treated as an ordinary pre-shipment cancellation. Interception, refusal, rerouting, or return depends on carrier capability and the applicable reverse-logistics workflow.
The Seller must not independently instruct a Host to remove, redirect, substitute, or hold a Parcel outside Avoylo's authorized workflow.
31. Outbound Fulfillment
The normal outbound workflow is:
exact Parcel reservation → Host retrieval → QR verification → shipping label → staging → staging evidence → carrier acceptance
The Seller must not ask a Host to perform unsupported work such as:
- opening a Parcel;
- repacking;
- inserting additional materials;
- combining Parcels;
- removing product;
- changing the destination manually;
- substituting merchandise; or
- performing another non-authorized warehouse service.
32. Shipping Labels
Where Avoylo or an integrated provider generates a shipping label, the Seller must provide accurate shipment data required for label creation.
If a label is incorrect, damaged, replaced, voided, or superseded, the supported Avoylo workflow must be used.
The Seller must not instruct a Host to manually alter shipment information on a label.
When Avoylo issues a replacement label, the previous label is superseded for future handoff unless Avoylo expressly records otherwise.
A reprint of the same still-valid label does not create a second shipment.
33. HANDOFF_READY and Carrier Acceptance
HANDOFF_READY means the Host-side staging requirements have been completed.
It does not mean the carrier has possession.
CARRIER_ACCEPTED is recorded only when sufficiently reliable carrier or shipping-provider evidence confirms possession or another expressly authorized provider rule applies.
The Seller must not treat Host staging evidence alone as proof of carrier acceptance.
34. Failed Pickup and Retry
If a Parcel is HANDOFF_READY but the expected pickup does not result in carrier acceptance, the Parcel does not automatically return to STORED.
The Parcel remains in the outbound custody workflow while the associated task enters a pickup-retry or equivalent exception workflow.
Avoylo may instruct the Host to:
- secure the Parcel;
- temporarily move it from the pickup zone back into protected holding;
- re-stage it;
- verify the current label;
- apply a replacement label;
- submit new staging evidence; or
- wait for a new authorized pickup window.
If Avoylo explicitly cancels the outbound fulfillment and verifies that the Parcel is safely back in normal storage, Avoylo may release the reservation and return the Parcel to STORED.
A newly issued replacement label supersedes the previous label for future handoff.
35. Carrier Services
Carrier transportation is governed by carrier capability, carrier rules, and service availability.
Unless Avoylo expressly commits otherwise for a specific service, Avoylo does not guarantee carrier pickup time, scan timing, transit time, delivery date, interception availability, or uninterrupted carrier service.
The Seller must not convert an internal Avoylo processing target into a customer-facing guaranteed delivery promise unless that guarantee is actually supported by the applicable service.
36. Customer Returns
The Seller must not publish or use a Host's private address as a general customer return address unless Avoylo expressly authorizes that arrangement.
For any Avoylo-managed reverse-logistics workflow, Avoylo determines the authorized return destination according to the enabled service and Seller configuration.
The destination may be:
- an authorized Host Location;
- the Seller;
- an approved returns facility; or
- another authorized destination.
The Seller must use the destination generated or approved by Avoylo for that return.
37. Returned Merchandise
A standard Host is not required to open, inspect, test, grade, refurbish, clean, repair, or repackage returned merchandise unless Avoylo has expressly enabled that service.
Returned merchandise becomes normal fulfillable inventory only when the supported return workflow confirms that the required identity, seal, packaging, safety, and condition requirements are satisfied.
Opened, damaged, used, unidentified, unsafe, or otherwise non-standard returns may remain in RETURN_PENDING, QUARANTINED, DAMAGED, or another review state.
38. Product Recalls and Stop-Fulfillment Events
If inventory becomes subject to a recall, stop-sale, regulatory restriction, or material safety issue, the Seller must promptly notify Avoylo and identify the affected inventory with sufficient specificity.
Avoylo may immediately block allocation or outbound fulfillment of affected Parcels and place them into an appropriate review or quarantine state.
The physical disposition of affected inventory must follow the applicable authorized workflow.
39. Long-Term or Stale Inventory
Avoylo may identify inventory as long-term or stale under an applicable storage policy.
The Seller may be required to choose an authorized next step such as:
- continued storage;
- transfer;
- partial or full removal;
- return to the Seller; or
- another supported disposition.
This Policy does not itself authorize abandonment or disposal merely because inventory has been stored for a long time.
40. Seller-Initiated Removal
The Seller may request removal of eligible inventory through Avoylo.
Removal may be subject to:
- open fulfillment tasks;
- reconciliation;
- quarantine or operational holds;
- required destination information;
- applicable handling or transportation charges under the Billing & Payment Terms; and
- reasonable processing time.
A Seller must not arrange an unrecorded direct pickup from a Host.
41. Authorized Transfers
The Seller may not independently move inventory between Hosts.
An Avoylo-authorized transfer must preserve:
- Parcel identity;
- source Host Location;
- destination Host Location or other authorized destination;
- quantity;
- transfer status;
- custody history;
- shipment or handoff evidence; and
- applicable financial records.
A transfer does not silently create a new original inbound history.
42. Seller Closure Lifecycle
Seller closure is an operational process, not a single button event.
The expected lifecycle is:
Seller requests closure → new activity is restricted → open orders are resolved → remaining inventory is reconciled → inventory is removed, returned, transferred, or otherwise lawfully resolved → operational closure is completed
Requesting closure may disable new:
- inbound Placements;
- replenishment;
- new commerce ingestion; or
- other activity Avoylo determines should stop during wind-down.
A Seller account must not be treated as operationally closed while unresolved physical inventory remains in the network unless another lawful disposition has been expressly established.
Legal account termination, login access, data retention, and surviving obligations are governed by the applicable Terms of Service and agreements.
43. Unreachable, Inactive, or Delinquent Seller
The Seller must maintain current operational contact information.
If the Seller becomes unreachable, inactive, or materially delinquent, Avoylo may stop new services and move affected inventory into an administrative, hold, or removal workflow as permitted by the applicable agreements.
The Seller may be required to provide removal, return, transfer, payment, verification, or other resolution instructions.
Any right to retain, dispose of, sell, or otherwise act on inventory because of nonpayment, inactivity, or abandonment must arise from the applicable agreement and law; this Policy does not independently create such a right.
44. Seller Operational Reports
The Seller may report supported operational issues including:
- Host unavailability;
- suspected fulfillment delay;
- missing carrier acceptance;
- shipment irregularity;
- custody irregularity;
- suspected inventory damage or loss;
- inbound transit issue; or
- another supported operating problem.
A report does not automatically establish fault.
Avoylo may review relevant system records, Host evidence, Seller evidence, carrier events, and other operational evidence.
45. Operational Evidence and Corrections
The Seller must not intentionally falsify operational evidence.
Avoylo may preserve and compare:
- Seller declarations;
- order records;
- shipment events;
- carrier records;
- Host scans;
- photographs;
- measurements;
- counts;
- incident history; and
- other relevant evidence.
Where a material record is corrected, Avoylo should preserve the original record and an auditable correction where reasonably practical rather than silently rewriting history.
46. Charges and Payment Reference
Storage, inbound handling, outbound handling, carrier costs, returns, transfers, removals, adjustments, and other supported events may create Seller charges.
The calculation, aggregation, payment, delinquency, correction, tax, refund, and payment-provider rules are governed by the Billing & Payment Terms.
This Seller Services Policy does not independently redefine those payment rules.
47. Claims and Protection Reference
Loss, damage, reimbursement, credits, carrier claims, evidence deadlines, insurance, deductibles, limits, exclusions, and related matters are governed by the Claims & Protection Policy and any applicable carrier or insurance terms.
Submitting an operational report or incident does not itself create a right to reimbursement.
This Seller Services Policy does not create insurance coverage.
48. Operational Suspension
Avoylo may restrict some or all Seller operational functionality where reasonably necessary because of a material safety issue, prohibited inventory, material misdeclaration, suspected fraud, account compromise, verification failure, payment restriction, legal requirement, serious misuse of Host information, or another material operational problem.
A suspension may apply to a product, Batch, Placement, order, integration, or account.
Suspension does not automatically resolve physical inventory already in custody.
