Avoylo Operations Policy

This Operations Policy describes how the Avoylo network operates, including inventory intake, Host matching, storage, fulfillment, parcel custody, pickup staging, exception handling, incident reporting, operational evidence, transfers, returns, cancellations, and account-exit procedures.

This Policy is an operational policy, not a complete statement of every contractual or legal right. Where this Policy is incorporated into an applicable Avoylo agreement, it forms part of the rules governing use of the applicable service.

If this Operations Policy conflicts with the Avoylo Terms of Service, Seller Services Agreement, Host Services Agreement, Billing & Payment Terms, Host Earnings & Payout Terms, Claims & Protection Policy, Prohibited & Restricted Items Policy, or another more specific agreement applicable to a transaction, the more specific applicable agreement controls to the extent of the conflict.

Nothing in this Policy creates insurance coverage, guarantees delivery or earnings, determines legal title or risk of loss, establishes employment status, or overrides rights that cannot lawfully be waived.


1. Avoylo Operating Model

Avoylo provides technology and operational infrastructure that allows eligible Sellers to place prepacked inventory with eligible local Hosts for storage and order fulfillment.

The initial Avoylo service is a prepacked, sealed-parcel fulfillment model.

A normal inventory lifecycle is:

Seller preparation → Host opportunity → Host assignment → Seller inbound shipment → Host receipt and verification → storage → customer order → exact Parcel allocation → Host QR verification → shipping-label application → pickup staging → staging evidence → carrier acceptance → delivery tracking

Avoylo may provide matching, inventory records, task assignment, operational evidence, payment and billing infrastructure, shipping integrations, incident management, support tools, and related services.

Transportation is performed by applicable third-party carriers or transportation providers unless Avoylo expressly states otherwise for a particular service.


2. Definitions

For purposes of this Policy:

Seller means an eligible business or authorized business user that places inventory into the Avoylo network.

Host means an eligible person or entity with an approved Host Location that accepts inventory opportunities through Avoylo.

Host Location means an approved storage location associated with a Host.

Parcel means an individually identifiable sealed package recorded in Avoylo.

Batch means a Seller-created group of Parcels submitted together for placement.

Placement means the group of Parcels assigned by Avoylo to one Host Location under one accepted Host opportunity.

Opportunity means a proposed Placement offered to one or more eligible Hosts.

Accepted Terms means the pricing and operational terms recorded when a Host validly accepts an Opportunity and Avoylo commits the assignment.

Custody Event means an authoritative operational event recorded by Avoylo relating to receipt, storage, reservation, staging, carrier acceptance, transfer, return, discrepancy, loss, damage, or another recognized Parcel state.

Carrier Acceptance means sufficiently reliable evidence from the applicable carrier or shipping provider that the carrier has accepted possession of a Parcel.

Operational Evidence means records such as scans, timestamps, photographs, measurements, counts, system events, audit records, carrier events, and related evidence maintained for fulfillment, security, support, or dispute purposes.

Quarantine means an operational hold that removes a Parcel from normal fulfillment while an issue is reviewed.


3. Operational Responsibility Summary

This table summarizes operational roles. It does not determine legal liability, insurance coverage, title, or risk of loss.

4. Service Eligibility

Avoylo may limit some or all services by geography, account type, verification status, inventory type, capacity, service availability, payment or payout status, or other legitimate operational requirements.

Seller accounts must be operated by a person legally authorized to act for the Seller.

Hosts must satisfy the eligibility requirements stated in the Host Services Agreement and applicable onboarding rules.

Avoylo may require identity, business, location, tax, payment, payout, or other verification before enabling particular functionality.

Completing registration does not guarantee access to every Avoylo service, any Host match, any order volume, or any particular earnings.


5. Supported Inventory Model

Unless Avoylo expressly enables another fulfillment mode, each Parcel submitted to the network must be:

A Host is not expected to open a Parcel, inspect merchandise inside a Parcel, assemble products, create custom bundles, perform product quality control, or repackage merchandise unless Avoylo expressly enables and authorizes that service.

Avoylo may impose maximum dimensions, weight, value, quantity, storage duration, or other limits by market or service level.


6. Batch and Placement Rules

For the initial Avoylo operating model, a Batch is assigned as a whole to one Host Location unless Avoylo explicitly divides it into separate Placements before assignment.

A Host Opportunity therefore applies to a specific Placement, not to an undefined portion of inventory.

If Avoylo later supports split placement, Avoylo must create distinct Placements or sub-batches with separately identifiable:

No two Hosts may simultaneously hold the same exclusive Placement assignment.


7. Seller Declarations

The Seller must provide complete and materially accurate information requested by Avoylo concerning inventory.

This includes, where requested:

Seller-provided information remains part of the historical record even when a Host or Avoylo later reports a different observation.

A Seller must not knowingly conceal or misstate information that could affect safety, legality, carrier eligibility, pricing, storage capacity, handling, or fulfillment.


8. Host Location Requirements

A Host may store Avoylo inventory only at an approved Host Location unless Avoylo expressly authorizes a transfer.

Unless a different service level is approved, a Host Location must remain reasonably:

The Host is responsible for having the right and any required permission to use the Host Location for the activities performed there.

A Host must not knowingly expose inventory to conditions materially inconsistent with the accepted storage requirements.


9. Host Operating Profile

Avoylo may maintain operational information for each approved Host Location, including:

A Host must keep material operating information reasonably current.

Avoylo may use this information when determining Host eligibility for an Opportunity or task.

Avoylo may stop sending new Opportunities when current capacity, availability, verification status, operating conditions, or other eligibility requirements are not satisfied.

Vacation mode or temporary unavailability does not cancel existing custody obligations.


10. Host Location Privacy

A Host's exact address is not public marketplace information and is not ordinarily shown in Seller discovery or Opportunity-selection interfaces.

Before an operational need exists, Avoylo may display only coarse geographic information such as:

California — Los Angeles area

or another region, metro area, service area, or similarly limited description.

Avoylo may use or disclose an exact Host Location only where reasonably necessary for an authorized operational purpose, including:

A Seller must not use a Host Location for unrelated marketing, harassment, solicitation, circumvention of Avoylo, or unauthorized direct fulfillment arrangements.


11. Host Opportunity Distribution

Avoylo may offer the same Opportunity to multiple eligible Hosts at the same time.

Avoylo is not required to offer an Opportunity to every theoretically eligible Host.

Avoylo may determine recipients, fan-out size, ranking, geographic scope, offer waves, or expiry using legitimate operational factors such as:

Receiving an Opportunity does not create an assignment.


12. Opportunity Acceptance and Assignment

A Host may accept or decline an available Opportunity subject to the applicable terms.

A Host pressing an Accept button does not itself create an assignment.

An assignment is complete only when Avoylo's authoritative server-side system:

  1. validates Host eligibility;
  2. validates current capacity and availability;
  3. confirms the Opportunity is still open;
  4. records the applicable Accepted Terms; and
  5. commits the assignment transaction.

Where multiple Hosts attempt to accept the same Opportunity, the first acceptance that successfully satisfies all requirements and is committed by Avoylo becomes the assignment.

Once the assignment is committed:

Avoylo uses server-side concurrency controls, idempotency protections, capacity checks, or equivalent controls to prevent duplicate assignment.


13. Accepted-Term Snapshot

When an Opportunity is validly accepted, Avoylo records or may record an append-only snapshot of the material commercial and operational terms then in effect.

This may include:

Later changes to a general pricing schedule do not silently rewrite historical Accepted Terms.

Material corrections should be recorded through auditable correcting or compensating events rather than by silently editing historical records.


14. Authorized Inbound Shipment

A Seller must not send inventory to a prospective Host before Avoylo authorizes the inbound shipment.

Inventory must be sent only through the authorized Avoylo workflow.

The Seller must use the approved Placement and shipment instructions.

When an inbound shipment arrives, the Host must use the applicable Avoylo receipt workflow before treating the shipment as normally stored.

Where Avoylo requires Parcel-level QR or identity verification, the Host must complete that verification.

A Host must not mark a Parcel as normally stored while a material unresolved discrepancy or apparent safety issue remains.


15. Inbound Discrepancies and Host Reports

A Host may report, and where material must report, an inbound discrepancy including:

Host observations do not overwrite the Seller's original declaration.

Avoylo may maintain both records, for example:

Seller declared weight: 5.0 lb Host reported measured weight: 10.8 lb

Avoylo may request photographs, measurements, carrier records, or other reasonable evidence.

A report does not automatically establish fault.

Material discrepancies may place affected inventory into DISCREPANCY_REVIEW or QUARANTINED status pending review.


16. Unsafe or Suspicious Parcels

A Host must not open or further handle a Parcel merely to investigate suspected dangerous or prohibited contents.

Where a Parcel appears to be leaking, emitting fumes, damaged in a way that creates a safety concern, or otherwise potentially dangerous, the Host must stop ordinary handling and use the applicable incident or safety workflow.

Avoylo may suspend fulfillment, obtain professional assistance, contact the applicable carrier, require removal or return, or take another action reasonably appropriate to the circumstances.

Nothing in Avoylo's ordinary workflow authorizes a user to handle regulated or hazardous materials in a manner prohibited by law.


17. Quarantine

QUARANTINED is an operational hold.

While a Parcel is quarantined:

Quarantine does not require a Host to physically move a dangerous Parcel if doing so would be unsafe.

When safe and practical, Avoylo may instruct that non-dangerous quarantined inventory be kept clearly separated from normal fulfillment inventory.

Release from quarantine must be recorded through an authorized Avoylo action.


18. Authoritative Inventory States

Avoylo maintains authoritative Parcel states or functional equivalents.

The normal lifecycle is:

RECEIVING → STORED → RESERVED → HANDOFF_READY → CARRIER_ACCEPTED → DELIVERED

Exception or administrative states may include:

Avoylo may use different internal labels if the operational meaning remains equivalent.

A state is authoritative only when committed by the Avoylo server or an authorized provider event. A client-side screen, local device state, or unsupported manual statement does not by itself create the state transition.


19. State Transition Rules

The following rules define the intended authoritative transitions:

RECEIVING

A Parcel is RECEIVING while an authorized inbound shipment has arrived or is being processed but required receipt verification has not been completed.

STORED

A Parcel becomes STORED only after the Host completes the required receipt workflow, verifies the Parcel identity where required, and no blocking discrepancy or safety hold remains.

RESERVED

A Parcel becomes RESERVED only when Avoylo atomically assigns that exact eligible Parcel to a specific order or fulfillment task.

HANDOFF_READY

A Parcel becomes HANDOFF_READY only after the applicable outbound task requirements are completed, including exact Parcel verification, authorized label handling, required staging, and required staging evidence.

CARRIER_ACCEPTED

A Parcel becomes CARRIER_ACCEPTED only when sufficiently reliable carrier or shipping-provider evidence confirms carrier possession.

DELIVERED

A Parcel may become DELIVERED only when sufficiently reliable carrier or shipping-provider evidence indicates delivery or another Avoylo-authorized completion rule applies.

Exception States

DISCREPANCY_REVIEW, QUARANTINED, TRANSFER_PENDING, RETURN_PENDING, REMOVAL_PENDING, DAMAGED, LOST, and CANCELLED may be entered only through an authorized Avoylo workflow or authorized provider event.

No user may bypass a required state transition by manually changing local client data.


20. Operational Custody States Are Not Legal Liability Determinations

Operational state labels record the system's understanding of physical handling and task progression.

They do not by themselves determine:

Those issues are governed by the applicable agreements, Claims & Protection Policy, carrier terms, insurance terms where applicable, and law.

A Host obtains no ownership interest in Seller merchandise merely by possessing it.


21. Storage Conduct

A Host must keep stored Parcels reasonably identifiable, protected, and retrievable.

Without authorization, a Host must not:

A Host must organize inventory sufficiently to retrieve a specifically assigned Parcel without opening packages.


22. Storage Capacity

A Host must not knowingly accept inventory beyond the Host's actual reasonable capacity.

Avoylo may estimate required capacity from Seller-declared dimensions, quantity, and other data.

If actual inventory materially differs from the declared dimensions, quantity, or volume, the Host must report the discrepancy instead of knowingly creating unsafe or unmanageable storage conditions.

Avoylo may prevent new assignments when existing inventory and pending assignments would exceed recorded capacity.


23. Physical Inventory Reconciliation

Avoylo may require a Host to perform a reasonable inventory verification when needed for security, accuracy, incident review, transfer preparation, or periodic reconciliation.

A verification may require:

A Host must not fabricate a reconciliation result.

If physical inventory differs from system inventory, the Host must report the discrepancy.

Avoylo must not silently delete, create, or reassign a Parcel solely to make system counts match physical counts. Material corrections should preserve audit history.


24. Orders and Parcel Allocation

When a fulfillable Seller order enters Avoylo, Avoylo selects and reserves a specific eligible Parcel.

The Host does not ordinarily choose which equivalent Parcel should satisfy the order.

The Host must process only the Parcel identified by the authoritative Avoylo task.

Avoylo uses atomic allocation, reservations, idempotency, or equivalent controls to prevent the same Parcel from being allocated to multiple orders.


25. Order Cancellation Rules

Cancellation behavior depends on how far the fulfillment has progressed.

Before RESERVATION

If an order is cancelled before a Parcel is reserved, no Parcel should enter outbound processing for that order.

After RESERVED but Before Label Issuance or Processing

Avoylo may release the reservation and return the Parcel to STORED if no irreversible or chargeable outbound action has occurred.

After Label Issuance but Before HANDOFF_READY

Cancellation becomes a stop request.

If Avoylo confirms the Parcel has not been staged or handed to a carrier, Avoylo may cancel the task, void or supersede the label where supported, and return the Parcel to STORED.

The Host must not independently alter shipment details or invent a new label.

After HANDOFFREADY but Before CARRIERACCEPTED

Cancellation is not guaranteed.

Avoylo may attempt to stop the handoff only where the Parcel has not been accepted by the carrier and the system provides an authorized retrieval or re-stage instruction.

A Host must not remove a staged Parcel solely because the Seller or customer requested cancellation unless Avoylo authorizes the action.

After CARRIER_ACCEPTED

The fulfillment cannot be treated as an ordinary pre-shipment cancellation.

Any recovery, rerouting, refusal, return, or reverse-logistics action depends on carrier capability and the applicable return process.

Financial consequences of cancellation are governed by the applicable Billing & Payment Terms and other specific agreements.


26. Outbound Handling

An outbound task may require the Host to:

  1. access the assigned task;
  2. retrieve the specifically assigned Parcel;
  3. scan its opaque QR or other identifier;
  4. receive confirmation that the Parcel matches the task;
  5. apply the authorized shipping label;
  6. place the Parcel in the approved pickup location;
  7. record required staging evidence; and
  8. make the Parcel available for authorized carrier handoff.

A Host must not knowingly substitute another Parcel merely because the Parcels appear similar.

Avoylo may reject or block an outbound action when Parcel identity cannot be verified.


27. Shipping Label Rules

A shipping label must be used only for the Parcel and shipment for which it was issued.

A Host must not intentionally:

If a label is incorrect, damaged, replaced, cancelled, or superseded, the Host must use Avoylo's label workflow rather than manually editing the label.

When Avoylo issues a replacement label, the prior label must be treated as invalid for future handoff.

Where physically safe and practical, the Host must remove, cover, or permanently obscure the superseded label before using the replacement.

A reprinted copy of the same still-valid label is not a new shipment, but it must not be used on more than the one authorized Parcel.


28. Staging Photo Evidence

Avoylo may require a Host to provide a photograph before marking a Parcel ready for pickup.

The purpose of staging evidence is to document that the Host placed the identified Parcel into the applicable pickup stage.

Avoylo may associate photo evidence with:

Staging photographs are private operational evidence and are not intended to be public.

Where Avoylo permits replacement photos, prior evidence may be retained rather than silently overwritten.


29. HANDOFF_READY Is Not Carrier Acceptance

HANDOFF_READY means that the Parcel satisfied Avoylo's applicable Host staging requirements.

It does not prove that a carrier took possession.

Carrier possession is established only by sufficiently reliable carrier or shipping-provider evidence or another expressly authorized provider confirmation.

Accordingly:

HANDOFFREADY ≠ CARRIERACCEPTED


30. Pickup Failure and Missing Carrier Acceptance

If a Parcel remains HANDOFF_READY without expected carrier acceptance, the Host must not independently mark the Parcel as accepted or delivered.

Avoylo may create or require an incident such as:

The Parcel remains under the applicable Host-side custody workflow until Avoylo records carrier acceptance or another authorized disposition.

Avoylo may instruct the Host to:

If the Parcel is moved, re-staged, or relabeled, Avoylo may require a new staging photograph.

The Host must not assume that an old label remains valid after a missed pickup. The system or authorized Avoylo instruction determines whether the existing label remains valid or is replaced.


31. Unattended Pickup

A Host is not necessarily required to be physically present for every carrier pickup.

Unattended pickup may be used only where:

A Host must not represent that a Parcel has been accepted by a carrier merely because it was placed in an unattended pickup area.


32. Carrier Services

Carrier transportation is subject to the applicable carrier's rules, service availability, operational constraints, and terms.

Avoylo may integrate with carriers, shipping technology providers, or other transportation services.

Unless expressly stated otherwise for a specific service, Avoylo does not guarantee a carrier's pickup time, transportation time, delivery date, scan timing, or continued service availability.

Carrier postage, pickup fees, surcharges, or similar transportation costs may be treated separately from Avoylo service charges as described in the Billing & Payment Terms.


33. Customer Returns and Reverse Logistics

Hosts do not accept ordinary customer returns unless Avoylo has expressly authorized a return workflow for the specific return.

A Seller must not publish or use a Host's private address as a general customer return address unless Avoylo expressly authorizes that arrangement.

An unauthorized return that arrives at a Host Location must be reported through Avoylo and must not automatically be treated as normal inventory.

When an Avoylo return workflow is enabled for a specific Parcel, Avoylo may route the return to:

A standard Host is not required to open, inspect, refurbish, clean, test, grade, or repackage a customer-returned product.

A returned Parcel may be restored to normal STORED inventory only if the applicable workflow permits it and required identity, seal, packaging, safety, and condition checks have been completed.

Opened, materially damaged, used, or otherwise non-standard returns may be placed into RETURN_PENDING, QUARANTINED, DAMAGED, or another review state rather than normal inventory.


34. Host Exit, Location Closure, and Long Absence

A Host that wants to stop participating must use the Avoylo exit workflow rather than abandoning inventory.

The expected exit lifecycle is:

Exit request → stop new Opportunities → inventory reconciliation → complete or stop eligible open tasks → authorized transfer or Seller return/removal → confirm physical inventory reaches zero → deactivate Host Location

After an exit request, Avoylo may stop sending new Opportunities immediately.

Until existing inventory has been lawfully and operationally removed, transferred, returned, or otherwise resolved, the Host must continue to protect inventory already in its custody and comply with applicable safety and incident requirements.

A Host must not independently move inventory to another location merely because the Host wishes to exit.

If a Host Location becomes unavailable unexpectedly, the Host must notify Avoylo promptly so that transfer, return, or other recovery can be coordinated.

A Host Location should not be treated as fully closed while Avoylo records unresolved physical inventory there.


35. Seller Exit, Seller Inactivity, and Inventory Removal

A Seller that closes its account or stops using Avoylo must resolve inventory remaining in the network.

Avoylo may stop new inbound placements and new fulfillment activity as appropriate once an account-exit or material account restriction process begins.

Remaining inventory may require:

A Seller must provide valid removal or return instructions when reasonably requested.

If a Seller becomes unreachable, inactive, or materially delinquent in payment, Avoylo may suspend new services and place affected inventory into an administrative or removal workflow.

Any right to hold, release, return, transfer, dispose of, or otherwise act on inventory because of unpaid amounts is governed by the applicable agreements and law. This Operations Policy does not create an independent lien or disposal right.


36. Long-Term or Stale Inventory

Avoylo may identify inventory as stale or long-term when it remains stored beyond an applicable service threshold.

Avoylo may require the Seller to choose an authorized next step such as:

Avoylo must not treat inventory as abandoned or authorize disposal solely because it is old unless the applicable agreement and law permit that result and required notices or procedures have been satisfied.


37. Authorized Inventory Transfers

Inventory may be transferred between approved locations only through an Avoylo-authorized transfer workflow.

A transfer should preserve:

A Host must not transfer inventory to another Host, residence, warehouse, business, or person outside the authorized workflow, except where immediate action is reasonably necessary to protect people from imminent danger and permitted by law.


38. Critical Operational Incidents

Avoylo may maintain an incident-management system for material operational problems.

Incident categories may include:

An incident record may include relevant timestamps, affected resources, evidence, status, response history, resolution information, and audit history.

An incident report does not automatically establish fault or liability.


39. Human Response Target

Avoylo may operate an internal target for human review of designated critical incidents.

An internal target does not become a contractual service-level guarantee unless Avoylo expressly identifies it as such in an applicable Service Level Policy or agreement.

A 30-minute first human response target means the target time for an authorized person to begin reviewing or responding to an incident.

It does not mean that the underlying incident will be fully resolved within 30 minutes.


40. Seller Reports

A Seller may report an eligible operational issue through Avoylo, including:

Avoylo may review system records, Host evidence, Seller evidence, carrier events, and other reasonably relevant information before taking action.


41. Evidence and Investigation

Users must not intentionally falsify operational evidence.

This includes falsifying:

Avoylo may use operational records to investigate suspected error, abuse, fraud, loss, damage, safety issues, or contractual violations.

Affected users must provide reasonable cooperation where required by the applicable agreements.


42. Corrections and Audit History

Avoylo seeks to preserve the integrity of historical operational and financial records.

Where feasible, a material correction should identify:

Historical data should not be silently rewritten where an auditable correction is reasonably practical.


43. Fees, Earnings, and Billing

Operational events may create Seller charges, Host earnings, Avoylo allocations, transportation pass-through costs, credits, or other financial entries.

The applicable pricing is governed by the pricing policy, Accepted Terms, Billing & Payment Terms, Host Earnings & Payout Terms, and other applicable agreements.

Avoylo may record individual operational events separately while aggregating multiple charges into a Seller billing statement.

A browser, client application, Seller, or Host does not determine the authoritative amount owed merely by submitting a numeric amount.


44. Storage Offers

Where Seller-posted storage pricing is enabled, Avoylo may establish:

The Seller may select an eligible storage offer within the applicable rules.

A recommended rate is not necessarily a market average or guarantee of Host acceptance.

The validly accepted rate for a Placement is preserved as part of the Accepted Terms.


45. Protection, Insurance, Loss, and Damage

This Operations Policy does not itself create insurance coverage.

Any insurance, reimbursement, credit, carrier claim, loss allocation, deductible, claim limit, evidence requirement, or other protection mechanism is governed by the applicable Claims & Protection Policy, insurance documents where applicable, carrier terms, and governing agreements.

Avoylo investigating an incident, providing support, facilitating a claim, or issuing a credit does not by itself mean Avoylo is acting as an insurer.


46. Prohibited and Restricted Items

Sellers must comply with the current Avoylo Prohibited & Restricted Items Policy.

Avoylo may refuse, suspend, quarantine, require removal of, or otherwise restrict inventory that Avoylo reasonably believes may be prohibited, unsafe, unlawful, materially misdeclared, or incompatible with the applicable service.

Nothing in this Policy requires a Host to knowingly perform unsafe handling.

Avoylo may cooperate with carriers, regulators, law enforcement, emergency services, or other appropriate authorities where required or reasonably necessary under applicable law.


47. Circumvention and Off-Platform Use

Users must not misuse information obtained through Avoylo to bypass Avoylo's operational, payment, safety, privacy, or matching systems.

50. Suspension of Operational Activity

Any rights regarding termination, withheld payments, refunds, claims, appeals, or inventory disposition are governed by the applicable agreement.


51. Account and Location Changes

Material changes to a Host Location, Seller operation, inventory type, verification status, payment status, payout status, or another relevant fact may require reverification or updated approval.

Users must update material information through the applicable Avoylo workflow rather than relying only on informal communication.


52. No Guarantee of Opportunities, Volume, Delivery, or Earnings

Creating a Seller or Host account does not guarantee:

Any earnings example, recommended price, projected volume, or operational estimate is not guaranteed income or guaranteed business volume unless expressly stated in a binding agreement.


53. Service Changes

Avoylo may change supported markets, operational procedures, technology, carrier integrations, service levels, eligibility criteria, pricing mechanisms, or other aspects of the network.

Where a change materially affects already Accepted Terms or another binding commitment, Avoylo will apply the applicable agreement, versioning rules, and law rather than silently rewriting historical terms.


54. Policy Versioning

Avoylo may update this Operations Policy from time to time.

Each published version should identify its effective date or last-updated date.

Where legally required or contractually promised, Avoylo will provide appropriate notice before a material change becomes effective.

Historical transactions remain subject to applicable historical terms where required by the governing agreement or applicable law.
